Bylaws

Article 1.Name and Address.The political organization is named the Socialist Party of Iceland. The Socialist Party of Iceland operates in accordance with Act No. 162/2006 on the activities of political organizations. The address and main office of the Socialist Party of Iceland are Hverfisgata 105, 101 Reykjavík.

Article 2.Purpose of the Organization.The purpose of the Socialist Party of Iceland is to operate as a socialist political organization working towards the public gaining control over all major institutions of society, improving the living standards of wage earners and pensioners, promoting freedom, equality, equal rights, privacy, and solidarity in society, and upholding responsibility towards ecosystems and the Earth's resources for future generations. The Socialist Party of Iceland achieves this purpose, among other things, by fielding candidates in elections, both for Althingi and municipal elections. The Socialist Party of Iceland also aims to achieve its purpose by fostering socialist awareness and discourse, working with oppressed groups of the public, and seeking influence within societal institutions wherever possible.

Article 3.Organization of the Party.The supreme authority of the Socialist Party of Iceland in the formulation and implementation of political policy is the annual Socialist Congress, as further stipulated in the Organizational Rules. A member may at any given time only serve on one elected board (Executive Board, Membership Board, Struggle Board, Shadow Cabinet, or Policy Board). Serving on an elected board does not preclude a member from serving on a randomly selected board (for example, the Trust Council, Election Board, or Policy Groups). Each member shall not serve as a full member and alternate for more than twelve years on any single board, and shall not hold the chairmanship of any committee for more than eight years. A member who is ineligible for one board for these reasons remains eligible for other committees. A member of the Trust Council may not serve on other boards of the party.

Article 4.Membership in the Organization.Everyone is welcome to join the Socialist Party of Iceland, regardless of gender, origin, religion, or sexual orientation, subject to the authority of the Trust Council to expel members from the party, as further stipulated in the Organizational Rules. Members can announce their resignation from the party via email.

Article 5.The Party's BoardThe Executive Board shall consist of 9 members elected at the Socialist Congress, for one year at a time. Additionally, 4 alternate members shall be elected. The Executive Board manages the party's affairs between Socialist Congresses. The Executive Board distributes its duties among its members and shall elect from its ranks a chairman, vice-chairman, secretary, and treasurer. The chairman convenes meetings. The signing authority rests with the majority of the Executive Board.

The Executive Board is responsible for the daily operations of the party, oversees the website and promotional matters, manages the party's finances, maintains the membership register, and shall compile minutes and other documents regarding the party's decisions and activities between General Meetings. The Executive Board is authorized to request assistance from members and others in solving specific tasks as needed.

The Executive Board is responsible for ensuring that the party's activities comply with the Bylaws and Organizational Rules, and is authorized to resolve disputes regarding decisions of other party bodies (as described in the Organizational Rules) in accordance with the Bylaws and Organizational Rules. Decisions of the Executive Board may always be appealed to the Trust Council, as stipulated in the Organizational Rules.

Article 6.Auditing of Accounts.The Executive Board selects an auditor and/or auditing firm for one year at a time.

Article 7.Amendment of Bylaws.The operating period of the Socialist Party of Iceland is the calendar year. At the general meeting, held annually at the Socialist Congress, the results of the past year shall be reviewed.

The Socialist Congress is authorized to convene an extraordinary general meeting in accordance with the provisions of the Organizational Rules, and it shall have the same authority as a general meeting. A general meeting shall be held annually and notice thereof shall be given with at least two weeks' verifiable notice. A general meeting is legally constituted if properly convened.

Only members have the right to participate in the proceedings of the Socialist Congress. A simple majority of attending members shall decide matters.

The agenda for the Socialist Congress shall be as follows:
1. Election of a meeting chairman and secretary.
2. Presentation of the Executive Board's report.
3. Submission of accounts for approval.
4. Amendments to the Bylaws.
5. Determination of membership fees.
6. Election of the Executive Board and other boards as stipulated in the Organizational Rules.
7. Other matters.

Article 8.Dissolution of the Organization.A decision regarding the dissolution or winding up of the Socialist Party of Iceland shall be made by two general meetings, and a simple majority shall decide. The second general meeting shall dispose of the party's assets.

Article 9.Where the provisions of these bylaws do not specify how matters shall be handled, the provisions of Act No. 162/2006 on the activities of political organizations, as well as other applicable legal provisions, shall be observed.
